Billeron (available at https://www.billeron.com/) provides an online platform for invoicing, financial tracking, expense management, client management, and related services (collectively, the "Services"). The Services are accessed via an internet browser or compatible client application.

You are responsible for obtaining and maintaining all equipment and services needed to access and use the Billeron platform, including internet connectivity. Billeron is not responsible for any costs or damages arising from your failure to maintain adequate access.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. Billeron will not be liable to you or any third party for any such modification, suspension, or discontinuation.

Billeron reserves the right to update or modify these Terms of Use at any time and at its sole discretion. We will notify you of any material changes by sending an email to the address associated with your account or by posting a prominent notice on https://www.billeron.com/.

Your continued use of the Services after such notification constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue your use of the Services and close your account.

It is your responsibility to review these Terms periodically. The date of the most recent revision is indicated at the bottom of this page.

To access certain features of the Billeron platform, you must register and create an account. During registration, you agree to provide true, accurate, current, and complete information about yourself as prompted by the sign-up form.

You agree to maintain and promptly update your registration data to keep it accurate, current, and complete. If you provide information that is untrue, inaccurate, not current, or incomplete, or if Billeron has reasonable grounds to suspect such, Billeron reserves the right to suspend or permanently terminate your account.

Accounts that have not been verified within approximately ten (10) days of registration may be deactivated. Deactivated accounts may be reactivated within thirty (30) days upon request. After thirty (30) days, all data associated with deactivated accounts may be permanently deleted.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify Billeron of any unauthorised use of your account.

By using the Billeron platform, you consent to the collection, use, and disclosure of your personal information as described in Billeron's Privacy Policy, which is incorporated into these Terms by reference.

Billeron processes your data in accordance with applicable data protection laws. You retain ownership of all data you submit to the platform. By uploading content, you grant Billeron a limited, non-exclusive licence to store, process, and transmit that content solely for the purpose of providing the Services to you.

Billeron implements industry-standard technical and organisational measures to protect your data. However, no method of transmission over the internet or electronic storage is completely secure, and Billeron cannot guarantee absolute security.

Billeron offers both free and paid subscription plans. Paid plans are billed in advance on a monthly or annual basis. Monthly plans are defined as 30-day periods; annual plans are defined as 365-day periods.

Full payment is required before service is delivered for each billing period. By subscribing to a paid plan, you authorise Billeron to charge your designated payment method at the then-current subscription rate.

Subscriptions automatically renew at the end of each billing period unless you cancel prior to the renewal date through your account settings. Billeron will not refund any fees already paid except as required by applicable law.

If you upgrade or downgrade your plan during a billing period, you will receive a credit applied to your next invoice. Such credits are non-transferable and have no cash value. Plan downgrades take effect at the start of the next billing period.

You may use the Billeron Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Resell, sublicence, transfer, or assign your account or any rights under these Terms to any third party without Billeron's prior written consent.

• Use the platform to build a competing product or service, or to benchmark or compare Billeron's Services with a competing product without permission.

• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the platform.

• Access the platform by automated means (bots, scrapers, crawlers) without explicit written permission from Billeron.

• Interfere with or disrupt the integrity, performance, or security of the platform or its underlying infrastructure.

You are solely responsible for all content transmitted through or stored on the Billeron platform. You agree not to use the Services to send unsolicited commercial messages (spam), phishing communications, or any content that violates applicable laws or regulations.

Prohibited activities include, but are not limited to: distributing malware or harmful code; infringing the intellectual property rights of third parties; engaging in fraudulent or deceptive practices; collecting personal data without consent; and distributing content that is obscene, defamatory, threatening, or harassing.

Billeron reserves the right to immediately suspend or terminate your account and remove any content that, in Billeron's sole discretion, violates these Terms or any applicable law. Billeron may also report such activity to relevant law enforcement authorities.

THE BILLERON SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Billeron does not warrant that the Services will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components. Billeron does not warrant the accuracy, completeness, or reliability of any content obtained through the Services.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you in full. In such cases, Billeron's warranties are limited to the minimum extent permitted by applicable law.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BILLERON AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.

This limitation applies regardless of whether the claim is based on warranty, contract, tort (including negligence), statute, or any other legal theory, and regardless of whether Billeron has been advised of the possibility of such damages.

In no event shall Billeron's aggregate liability for all claims relating to the Services exceed the greater of (a) the total fees paid by you to Billeron in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars (USD 100).

Billeron reserves the right to suspend or terminate your access to the Services at any time, with or without cause and with or without notice, including in cases of: suspected illegal activity; breach of these Terms; prolonged account inactivity; or a request by a law enforcement authority.

Upon termination, your right to use the Services ceases immediately. Billeron may delete your account data, including all invoices, client records, and associated files, within thirty (30) days of termination. You are advised to export any data you wish to retain before terminating your account.

Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

You may terminate your account at any time by contacting Billeron support or through your account settings at https://www.billeron.com/.

These Terms of Use and any disputes arising out of or relating to them or the Services shall be governed by and construed in accordance with generally accepted principles of international commercial law, without regard to conflict of law provisions.

Before initiating formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting Billeron at https://www.billeron.com/. Billeron will use reasonable efforts to resolve any dispute within thirty (30) days.

If informal resolution is not possible, any dispute shall be resolved through binding arbitration conducted in English, in accordance with internationally recognised arbitration rules. The arbitral award shall be final and binding on both parties.
